You are if any of these is true:
- Earned income above $200K ($300K jointly) in each of the last two years, with the same expected this year
- Net worth above $1M (individually or with a spouse), excluding your primary residence
- Series 7, 65, or 82 license in good standing
Any of the above → the Reg D 506(c) card is you. None of them → the Reg CF card is you.
What’s the actual difference between the two?

- Reg D 506(c): larger check sizes, terms negotiated per investor, direct data room access, accreditation required
- Reg CF: standardized terms, $100 minimum, open to everyone, investment capped by your income and net worth
